1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Cuthours ("Company," "we," "us," or "our") concerning your access to and use of our website and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

2. Payment Processing and Merchant of Record

All payments for our products and services are processed through Paddle. When you make a purchase, you are entering into a transaction with Paddle as the merchant of record. Paddle will appear on your credit card or bank statement.

3. Services Description

Cuthours provides AI-powered automation solutions, custom software development, and related technology services. Our services include but are not limited to:

• Custom AI chatbot development
• Business process automation
• Software development and consulting
• Web and mobile application development
• API integration services

Note: Cuthours operates as an individual/sole proprietorship owned and operated by Muhammad Wasil Islam.

4. User Accounts

3.1 Account Registration

To access certain features of our services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Payment Terms

5.1 Pricing

All prices for our services are as quoted on our website or in written agreements. Prices are subject to change with notice. We reserve the right to modify our pricing at any time.

5.2 Payment Processing

Payments are processed through Paddle, our authorized payment processor. By making a payment, you agree to Paddle's terms of service and privacy policy.

5.3 Billing

For subscription services, you will be billed on a recurring basis according to your chosen billing cycle. You authorize us to charge your payment method automatically until you cancel your subscription.

5.4 Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5.5 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your purchase. Cuthours is an active tax payer and complies with all applicable tax regulations.

6. Refund Policy

Please refer to our separate Refund Policy page for detailed information about refunds, cancellations, and related procedures. The Refund Policy is incorporated into these Terms by reference.

7. Intellectual Property Rights

6.1 Our Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Cuthours or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Property

You retain all rights to any content you submit to our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our services to you.

6.3 Custom Development

For custom development projects, intellectual property rights will be transferred to you upon full payment, unless otherwise specified in a separate agreement. We retain the right to use general knowledge, skills, and experience gained from the project.

8. Prohibited Activities

You agree not to:

• Use our services for any illegal purpose or in violation of any laws
• Violate or infringe upon the rights of others
• Transmit any viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the operation of our services
• Reverse engineer, decompile, or disassemble any part of our services
• Use our services to send spam or unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest any information from our services without permission

9. Service Level and Availability

While we strive to provide reliable and continuous service, we do not guarantee that our services will be uninterrupted, error-free, or completely secure. We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice.

10. Limitation of Liability

To the maximum extent permitted by law, Cuthours shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code that may be transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Our total liability to you for all claims arising from or relating to these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cuthours, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Cuthours does not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

13. Termination

12.1 By You

You may terminate your account at any time by contacting us or through the account settings. Termination does not relieve you of any payment obligations for services already provided.

12.2 By Us

We may suspend or terminate your access to our services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use our services will immediately cease.

14. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of these Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Lahore, Pakistan, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Cuthours regarding our services and supersede all prior agreements and understandings.
